1. Acceptance of Terms

These Terms of Use (the "Terms") constitute a binding and enforceable legal contract between NaijaMart.com Online Marketplace Nigeria Limited, its affiliated companies (collectively referred to as the "Administrator," "we," or "us") and you. Please read these Terms carefully.

Your access and use of the NaijaMart.com website and mobile applications, as well as any service, content, and data available via them (referred to as the "Service" or the "Platform"), are governed by these Terms. If you do not agree with any part of these Terms, or if you are not eligible or authorized to be bound by the Terms, then do not access or use the Service. Please also review our Privacy Policy. The terms of the Privacy Policy and other supplemental terms, rules, policies, or documents that may be posted on the Platform from time to time are hereby expressly incorporated herein by reference.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms at any time and for any reason, with or without prior notice.

2. Important Disclaimers

ALL SERVICES RENDERED BY THE ADMINISTRATOR ARE PROVIDED "AS IS," "AS AVAILABLE," AND "WITH ALL FAULTS," AND THE ADMINISTRATOR DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, ANY GUARANTEES REGARDING CONDITION, QUALITY, LIFE DURATION, PERFORMANCE, ACCURACY, RELIABILITY, COMMERCIAL VALUE, AND SUITABILITY FOR SPECIFIC PURPOSES. ALL SUCH WARRANTIES AND LIABILITIES ARE HEREBY EXCLUDED.

THE ADMINISTRATOR HAS NO CONTROL OVER AND DOES NOT GUARANTEE THE EXISTENCE, QUALITY, SAFETY, OR LEGALITY OF GOODS AND SERVICES PUBLISHED BY USERS ON THE PLATFORM; THE TRUSTWORTHINESS OR ACCURACY OF INFORMATION PROVIDED BY USERS IN THE ANNOUNCEMENTS; THE ABILITY OF SELLERS TO SELL GOODS OR PROVIDE SERVICES; THE ABILITY OF BUYERS TO PAY FOR GOODS OR SERVICES; OR THAT A USER WILL ACTUALLY COMPLETE A TRANSACTION.

YOU ARE ENCOURAGED TO CHECK THE GOODS BEFORE PAYMENT AND TO REQUEST THE SELLER TO PROVIDE DOCUMENTS CONFIRMING COMPLIANCE OF THE GOODS WITH APPLICABLE REQUIREMENTS OF LAWS, REGULATIONS, RULES, GUIDELINES, STANDARDS.

YOU ACKNOWLEDGE THAT YOU ARE SOLELY RESPONSIBLE FOR YOUR SAFETY, AND YOU UNDERSTAND THAT YOU SHOULD MEET WITH OTHER INDIVIDUALS FOR COMPLETION OF A TRANSACTION ONLY IN SAFE PUBLIC PLACES IN DAYLIGHT HOURS. THE ADMINISTRATOR DISCLAIMS ANY RESPONSIBILITY FOR USER'S INTERACTION WITH ANY INDIVIDUAL OR ORGANIZATION.

3. Account Registration

In order to use certain features of the Service, you may need to register an account on the Platform (the "Account") and provide certain information about yourself as prompted by the registration form. You may create an Account as an individual or as an authorized representative of a company. You can register only one Account.

You acknowledge that you are solely responsible for safeguarding and maintaining the confidentiality of access details to your Account, and that you are fully responsible and liable for any activity performed using your Account access details. You hereby represent and warrant to us that you have reached the age of majority (18 years) or are accessing the Service under the supervision of a parent or legal guardian.

We reserve the right to suspend or terminate your Account or your access to the Service, with or without notice to you, in the event that you breach these Terms. You agree to immediately notify us of any unauthorized use or suspected unauthorized use of your Account or any other breach of security.

4. Phone Verification Requirement

NaijaMart requires all sellers to verify their phone number before posting listings on the Platform. Phone verification is mandatory to maintain the integrity of the marketplace and reduce fraudulent activity.

Verified phone numbers are linked to your account and may be displayed to buyers for contact purposes. You must provide an accurate, active Nigerian phone number. Using someone else's phone number or providing false verification information is a breach of these Terms and may result in immediate account suspension.

NaijaMart reserves the right to require re-verification at any time and to suspend accounts where phone verification cannot be confirmed.

5. The Service

The Platform is an online service that allows users to create and publish announcements, view announcements published by other users, and communicate with other users using the contact details provided in the announcements. The Administrator itself is not an importer, manufacturer, distributor, or seller of any item, nor a provider of any service posted by users on the Platform.

The actual sale and purchase contracts or service contracts are entered into directly between the users, and the Administrator itself is not a party to such transactions. Users shall be solely responsible for collecting and remitting any applicable taxes resulting from the sale of their goods or services posted on the Platform.

The Administrator reserves the right to delete or block access to announcements posted by users without notice in the event of: (i) receiving mandatory judgments of competent public authorities; (ii) a claim of a holder of intellectual property rights; (iii) infringements of rights of other users; (iv) detecting that an announcement breaches these Terms or any applicable law.

6. Listing Rules & Posting of Announcements

A user who posts announcements regarding the sale of goods or services on the Platform shall provide precise and complete information about such goods and services, as well as the terms and conditions of sale and service provision. The price of goods or services shall be exact.

Sellers are solely responsible for the accuracy, completeness, and legality of their listings. You agree not to list items that are prohibited by Nigerian law, counterfeit goods, stolen property, or any item that violates the rights of third parties.

NaijaMart reserves the right to remove any listing at its sole discretion without notice. Repeated violations may result in account suspension or permanent ban.

You must have legal ownership of the items offered for sale in your announcement and have the necessary license or authorization to offer for sale, advertise, and distribute the described goods.

7. Payments and Escrow Protection

NaijaMart offers an optional escrow service to protect both buyers and sellers. When escrow is used, funds are held securely by NaijaMart until the buyer confirms receipt of the item in satisfactory condition, at which point funds are released to the seller.

NaijaMart's escrow service is integrated with Providus Bank for fast, secure fund management. Buyers have a defined inspection period after delivery to raise any disputes. If no dispute is raised within the inspection period, funds are automatically released to the seller.

NaijaMart charges a service fee for escrow transactions. Full fee details are disclosed at the time of transaction. The Administrator is not responsible for transactions conducted outside of the Platform's escrow service.

8. Subscription Plans and Fees

NaijaMart offers both free and paid subscription plans for sellers. Free plans allow basic listing of products. Paid subscription plans ("Seller Plans") unlock additional features including increased listing limits, priority placement, advanced analytics, and AI-powered listing tools.

Subscription fees are charged in advance on a monthly or annual basis. Fees are non-refundable except where required by applicable law. NaijaMart reserves the right to change subscription fees with reasonable prior notice.

All fees are quoted in Nigerian Naira (₦). Payment may be made via bank transfer, card payment, or through your NaijaMart/Providus SME account.

9. User Representations and Warranties

By using the Service, you represent and warrant that:

• You are above 18 years of age. • You have provided true, accurate, and complete information in your Account. • You will update your information on your Account to maintain its truthfulness. • You will not provide any false or misleading information about your identity or location. • You will use the Service in strict compliance with applicable laws, regulations, rules, and guidelines. • You will not use the Service for any illegal or unauthorized purpose. • You will not post announcements that offer for sale any Prohibited Items. • You will not post content that is false, misleading, defamatory, harassing, or threatening. • You will not post pornographic or sexually explicit materials. • You will not post content that advocates hate, violence, discrimination, or ethnic conflicts. • You will not post counterfeit or stolen goods. • You will not use software to interfere with the normal operation of the Platform. • You will not harvest user information (emails, phone numbers) without consent. • You have legal ownership of all items offered for sale.

10. Prohibited Activities

You agree not to use the Platform to: engage in fraud or deception; post false, misleading, or defamatory content; harass, threaten, or harm other users; attempt to gain unauthorized access to the Platform; scrape, copy, or redistribute Platform content without permission; promote or distribute unsolicited commercial emails, chain letters, or Ponzi schemes; download or distribute malware, viruses, or trojans; or violate any applicable Nigerian or international law.

The following items and services are prohibited on NaijaMart: illegal weapons and ammunition; controlled substances and drugs; stolen goods; counterfeit or pirated products; pornographic content; services that violate Nigerian law; human trafficking or exploitation; and any items prohibited by Nigerian customs or consumer protection law.

11. Intellectual Property Rights

Information you submit as part of your registration, and any data, text, pictures, and other materials that you may submit or post on the Platform (the "User Content"), remain your intellectual property. The Administrator does not claim ownership of the copyright in User Content.

You grant the Administrator the non-exclusive, worldwide, transferable, perpetual, irrevocable right to copy, modify, adapt, store, publish, and distribute the User Content in connection with the Service, including for the Administrator's marketing and advertising purposes.

All content on the NaijaMart Platform, including logos, designs, text, graphics, and software, is owned by or licensed to NaijaMart and is protected by Nigerian and international intellectual property laws. You may not use, reproduce, or distribute any Platform content without our express written permission.

12. Indemnity

You agree to indemnify and hold the Administrator, its successors, subsidiaries, affiliates, related companies, suppliers, licensors, and partners, and the officers, directors, employees, agents, and representatives of each of them harmless from any claim or demand, including costs and attorneys' fees, made by any third party due to or arising out of:

• Your use of the Platform. • Your User Content. • Your violation of any representation, warranty, covenant, or obligation stipulated in these Terms. • Your violation of any applicable law, industry standard, regulation, guideline, or rule. • Any transaction entered into by you via the Platform.

The Administrator reserves the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us.

13. Limitation of Liability

IN NO EVENT SHALL WE (AND OUR AFFILIATES) BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY LOST PROFIT OR ANY INDIRECT, CONSEQUENTIAL, EXEMPLARY, INCIDENTAL, SPECIAL, OR PUNITIVE DAMAGES ARISING FROM THESE TERMS OR YOUR USE OF, OR INABILITY TO USE, THE SERVICE, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

NOTWITHSTANDING ANYTHING TO THE CONTRARY CONTAINED HEREIN, YOU AGREE THAT THE AGGREGATE LIABILITY OF THE ADMINISTRATOR TO YOU FOR ANY AND ALL CLAIMS ARISING FROM THE USE OF THE SERVICE IS LIMITED TO THE LESSER OF THE AMOUNTS YOU HAVE PAID, IF ANY, TO US DURING THE SIX (6) MONTH PERIOD PRIOR TO ANY CAUSE OF ACTION ARISING OR NGN37,000.

To the fullest extent permitted by applicable law, NaijaMart shall not be liable for any loss of data, loss of goodwill, or damage to computing systems arising from your use of the Platform.

14. Privacy Policy

NaijaMart is committed to protecting your personal information. By using the Platform, you consent to the collection, use, and processing of your personal data as described in our Privacy Policy.

We collect information you provide directly (name, email, phone number, location) and data about your use of the Platform. This information is used to provide and improve the Service, process transactions, communicate with you, and comply with legal obligations.

We do not sell your personal information to third parties. We may share information with service providers (including Providus Bank for banking services) where necessary to deliver the Service. All data processing is conducted in accordance with applicable Nigerian data protection laws including the Nigeria Data Protection Regulation (NDPR).

15. Dispute Resolution

In the event of a dispute between a buyer and seller arising from a transaction on the Platform, NaijaMart's dispute resolution team may, at its discretion, mediate the dispute. For escrow-protected transactions, buyers must raise disputes within the defined inspection period.

NaijaMart's decision in any mediated dispute is final. NaijaMart is not obligated to mediate disputes arising from transactions conducted outside the Platform's escrow service.

For disputes arising between you and NaijaMart, you agree to first attempt to resolve the matter informally by contacting support@naijamart.com. If informal resolution is not possible within 30 days, disputes shall be subject to binding arbitration in Lagos, Nigeria.

16. Governing Law & Jurisdiction

These Terms are governed by and construed in accordance with the laws of the Federal Republic of Nigeria. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of Lagos State, Nigeria.

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions shall continue in full force and effect.
